AGCO to sell Grain & Protein brands
DULUTH, GEORGIA, US - AGCO Corp., a global leader
in the design, manufacture and distribution of agricultural machinery
and precision ag technology, announced on July 25 it
has entered into a definitive agreement to sell most of its Grain
& Protein business to American Industrial Partners (AIP) in an
all-cash transaction valued at $700 million, subject to working
capital and other customary closing adjustments.
The transaction includes the five primary Grain & Protein
brands: GSI, Automated Production, Cumberland, Cimbria
and Tecno. It excludes AGCO's Grain & Protein business in
China. GSI, a US-based grain storage and handling equipment
manufacturer, was acquired by AGCO in 2011, while
Denmark-based grain handling equipment manufacturer
Cimbria was acquired in 2016.

PADUA, ITALY - Omas Industries recently welcomed
Alliance Farine, a French group consisting of 12 familyowned
and independent mills, to its headquarters for technical
presentations and practical demonstrations.
The two-day event focused on the latest technological innovations
developed by Omas Industries.
Special attention was given to the Dante Flour Extraction
Booster, designed to significantly enhance flour extraction
efficiency.
The Dante Flour Extraction Booster optimizes the flour
extraction process, reduces waste, and improves the final
product's quality. This machine was the highlight of the demonstrations,
drawing great interest and appreciation from attendees.
Additionally, a visit to one of Italy's most prominent
mills, Grandi Molini Italiani, where Omas technology is implemented,
further showcased its capabilities.
Representatives of Alliance Farine shared their experiences
and insights. This exchange of ideas laid the foundation
for future collaborations aimed at further improving the
Alapala produces 3,000th Similago II roller mill
ISTANBUL, TURKEY - Alapala recently manufactured its
3,000th Similago II roller mill, marking a significant milestone
for the food processing technology company.
The Similago II, which was developed with ITALDESIGN,
has received global design recognition such as RedDot, Good
Design Awards and Grapas.
The roller mill provides grain processing for flour, semolina,
maize mills and other food production plants.
The chassis is made of thick special carbon steel resistant to
machine vibration to ensure smooth and consistent machine
operation that provides more durability, the company said.
The aerodynamic profile of the roll mechanism allows for
air circulation between grinding rolls to avoid overheating of

the mechanism, providing efficient operation and minimized
downtime, the company said. Similago II's specially designed
transmission drive mechanism includes a specially profiled
belt, which ensures clean and silent operation without the need
for lubrication. The EZ Roll Pack Change System ensures the
change operation can be performed in just 20 minutes, which
is a significant reduction in scheduled downtime, according to
the company. The operation can be carried out with the standard
toolset and no lifting devices required.
Control is provided with a 7-inch LCD touch-panel screen
to set the operational parameters, as well as monitoring the
feed roll speed, hopper product level, electric motor amperage
load and instantaneous power consumption.

AGCO said it expects to use the net proceeds from the transaction
consistent with its stated capital allocation priorities, including
debt repayment, disciplined investment in technology and
organic growth initiatives and return of capital to shareholders.
AGCO said it expects to incur a loss on the sale of the business
in the range of $450 million to $475 million.
